Conditions”) apply to any person or entity (“You” or “Your”)
accessing the website (“Site”) of Quality Assured Label, Inc.
(“QAL”).
By accessing the Site or downloading or using
information or materials (collectively, “Materials”) from the
Site, You agree to abide by the Terms and Conditions. If
You do not agree to abide by the Terms and Conditions, then You
shall not access, download, or use the Materials.
Legal Disclaimer
The Site, including all Materials, is
copyrighted and protected by worldwide copyright laws and treaty
provisions. You agree to comply with all copyright laws in
your use of the Site and Materials, and to prevent unauthorized
copying from the Site and Materials.
In order to access
certain sections of the Site, such as but not limited to the
Customer Portal, You must provide Your Username and Password
(collectively, “Customer Identification”). You agree to
maintain your Customer Identification as confidential. You
will be responsible for any activity that occurs as a result of
Your enabling or authorizing another person or entity to use
Your Customer Identification. You must notify us
immediately if Your Customer Identification is lost or stolen,
or if You become aware of any unauthorized use of Your Customer
Identification or any other breach of security that may affect
the Site.
Please be advised that although QAL seeks to
attempt to prevent unauthorized access to or interception of
your information, QAL cannot guarantee such security. IN
AN EVENT THAT AN UNAUTHORIZED THIRD PARTY INTERCEPTS OR ACCESSES
YOUR INFORMATION, QAL SHALL NOT BE RESPONSIBLE FOR SUCH
INTERCEPTIONS OR UNAUTHORIZED ACCESS, OR FOR ANY DIRECT,
SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST
PROFITS) THAT YOU MAY SUFFER, EVEN IF QAL HAS BEEN ADVISED OF A
POSSIBILITY OF SUCH DAMAGES. QAL EXPRESSLY DISCLAIMS ANY
WARRANTY, EXPRESS OR IMPLIED, THAT INFORMATION WHICH YOU PROVIDE
WILL BE FREE FROM INTERCEPTION OR UNAUTHORIZED ACCESS,
REGARDLESS OF WHETHER CIRCUMSTANCES GIVING RISE TO SUCH EVENTS
MAY HAVE BEEN WITHIN THE CONTROL OF QAL OR OF ANY VENDOR
PROVIDING SOFTWARE OR SUPPORT SERVICES.
The Site and
Materials are provided on an “as is” and “as available” basis.
Neither the Site nor the Materials shall create any warranty;
nor shall You rely solely on the Site or the Materials.
You expressly agree that Your use of the Site and the Materials
is at Your sole risk. QAL does not warrant that the Site
or the Materials will be uninterrupted or error-free, nor does
QAL make any warranty as to results that may be obtained from
use of the Site or Materials.
QAL reserves a right, at
any time, to modify or discontinue, temporarily or permanently,
the Site and Materials (or any parts thereof) without notice.
You agree that QAL shall not be liable to you or to any third
party for any modification, suspension, or discontinuance of the
Site or Materials.
Copyright or Other Notices
If you download any portion of the Materials, You shall not copy
it or remove or obscure any copyright or other notices or
legends contained in any such Materials. Further, You
shall not distribute any such Materials to anyone, in either
electronic or paper format.
Terms of Use
QAL shall have a right, at any time and without advance notice,
to: change these Terms and Conditions; change the Site or
Materials, including eliminating, discontinuing, or modifying
any portion of any Materials; or change any fees or charges
associated with the Site or with products or services offered
through the Site. In addition, QAL reserves a right, at
any time and without advance notice, to refuse service to you.
These rights shall be effective immediately upon notice thereof,
which may be given by any means in the sole discretion of QAL,
including but not limited to posting any such notice on the Site
or transmitting via e-mail. Your use of the Site after
such notice constitutes Your acceptance thereof. You agree
to review these Terms and Conditions periodically to ensure that
You are familiar with the most current version.
You
agree to release, defend, indemnify and hold harmless QAL, its
employees, agents, representatives, and associates, from and
against all claims, losses, costs, damages, liabilities, and
expenses (including but not limited to attorneys’ fees) arising
out of: (i) Your activities in connection with the Site;
(ii) Your breach of any of these Terms and Conditions; (iii)
Your improper or unauthorized use of the Site or Materials; or
(iv) any allegation that anything You transmit through, or in
connection with, the Site infringes or otherwise violates
copyright, trademark, trade secret, privacy, or other rights of
any third party.
Rules of Conduct
You agree
to comply with all applicable laws, rules, and regulations in
accessing or using the Site or any Materials. In addition,
Your use of the Site and Materials is conditioned on Your
compliance with the following rules of conduct.
Accordingly, You agree not to:
use the Site or Materials
for any fraudulent or unlawful purpose;
impersonate any
person or entity, including, but not limited to, any QAL
employee, agent, representative, or associate;
falsely
state or otherwise misrepresent Your identity or Your
affiliation with any person or entity, or express or imply that
QAL endorses any statement that You make;
interfere with
or disrupt the operation of the Site;
transmit or
otherwise make available in connection with the Site any virus,
worm, Trojan Horse, or other harmful code;
restrict or
inhibit any other person or entity from using the Site,
including by means of hacking or defacing any portion of the
Site;
interfere with or violate any other Site visitor’s
or user’s right to privacy or other rights;
harvest or
collect personally identifiable information about Site visitors
or users or about a QAL employee, agent, representative, or
associate identified on the Site, without their express consent;
sell, resell, transfer, license, or exploit for any
commercial purposes any use of or access to the Site or the
Materials;
modify, adapt, translate, reverse engineer,
decompile, or disassemble any portion of the Site or Materials;
and
frame or mirror all or any part of the Site or
materials without prior express written authorization from QAL.
Proprietary Rights
You acknowledge and agree
that the Site and the Materials are and shall remain the
property of QAL and/or its licensors, and that they are
protected by copyright, trademark, and/or other proprietary
rights and laws. Except as expressly authorized in advance
by QAL, You agree not to copy, distribute, transmit, display,
perform or create derivative works of the Site or of any of the
Materials, provided that, subject to your compliance with these
Terms and Conditions, QAL does grant to You a limited, personal,
revocable, non-transferable and non-sublicensable license to (a)
access the Site and the Materials via the Internet solely for
purposes of viewing them and (b) print out pages of the Site for
Your personal and non-commercial use.
Trade names,
trademarks, and service marks of QAL or its affiliates include
without limitation: “QA”; “QUALITY ASSURED LABEL”;
“QUALITY ASSURED MEXICO”; “BACKPACK”; “INNOVATIVE SOLUTIONS FOR
YOUR BRAND”; “Q-SEAL”; “PRYSMATIC”; and “QVATION”; and any
associated logos or designs. All trade names, trademarks
and service marks on the Site that are not owned by QAL or its
affiliates are the property of their respective owners.
The trade names, trademarks, and service marks owned by QAL or
its affiliates, whether registered or unregistered, may not be
used in connection with any product or service that is not that
of QAL or its affiliate, or in any other manner that is likely
to cause confusion or dilution. Nothing on the Site should
be construed as granting, by implication, estoppel, or
otherwise, any right or license to use any of QAL’s (or its
affiliates’) trade names, trademarks, or service marks without
prior express written permission of QAL or the relevant
affiliate.
